Definitions

For purposes of these Terms:

• "Services" refers to all websites, software, APIs, platforms, mobile applications, communication systems, and related services operated by Bizzfo.
• "User" refers to any person or business accessing or using the Services.
• "Platform" refers to any Bizzfo website, software platform, application, API, or system.
• "Content" refers to all information, software, graphics, reports, analytics, communications, and materials made available through the Services.

Introduction

These Terms of Use govern access to and use of all Bizzfo websites, platforms, applications, APIs, software, communication systems, and related services operated by Bizzfo (Pty) Ltd and its affiliated brands, including but not limited to Bizzfo, Hive, Wigza, BAM, and Domestix.

By using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. Continued use of any Service after any update to these Terms constitutes acceptance of the revised Terms.

Services Covered

These Terms apply to:

• Websites and web applications
• Mobile applications
• Point of sale systems
• Cloud platforms and dashboards
• APIs and integrations
• Online ordering systems
• Loyalty and rewards systems
• AI-powered services and assistants
• WhatsApp and messaging integrations
• Support systems
• Delivery and driver management systems

Eligibility

By using the Services you confirm that:

• You are at least 18 years old, or have the consent of a parent or legal guardian
• You have the legal authority to enter into binding agreements
• All information you provide is accurate and up to date

If you are using the Services on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these Terms.

User Accounts

Users are responsible for:

• Maintaining the confidentiality of account credentials
• Protecting passwords and access tokens
• All activities occurring under their account

Bizzfo reserves the right to suspend or terminate accounts where misuse, fraud, unlawful activity, or security risks are suspected.

Nature of Services

The Services are provided on an "as is" and "as available" basis. While Bizzfo aims to provide reliable systems:

• Uninterrupted availability is not guaranteed
• Reports and analytics may contain inaccuracies
• AI-generated recommendations are informational only

Users remain responsible for their own business decisions and operational activities. No AI-generated output, forecast, or recommendation constitutes professional, financial, legal, tax, or operational advice.

Payments & Billing

Certain Services may require payment. Payments may be processed through authorised third-party payment providers. Bizzfo reserves the right to:

• Suspend Services for non-payment or overdue accounts
• Modify pricing upon reasonable notice
• Discontinue products or features

VAT & Pricing

Unless otherwise stated, all pricing may exclude VAT and applicable taxes. Bizzfo reserves the right to amend pricing, subscription structures, features, or billing models upon reasonable notice.

Intellectual Property

All intellectual property relating to the Services remains the property of Bizzfo or its licensors, including software, source code, APIs, databases, designs, logos, branding, reports, AI systems, documentation, and website content.

Users may not:

• Copy, reproduce, or distribute software or content
• Reverse engineer or decompile systems
• Misuse branding or trademarks
• Distribute proprietary materials without written permission

No rights are granted except as expressly permitted in writing by Bizzfo.

Third-Party Services

Bizzfo may integrate with external systems and providers. Bizzfo is not responsible for third-party outages, failures, compatibility issues, or external system limitations.

External Providers

Certain features and services may rely on third-party providers, including payment providers, messaging providers, telecommunications networks, external APIs, and cloud and infrastructure providers. Bizzfo is not responsible for failures, outages, delays, security incidents, or limitations caused by third-party providers.

AI & Automation

Bizzfo may use AI and automation technologies for reporting, analytics, support, operational automation, and communications. AI-generated outputs are informational only and should not be solely relied upon for business-critical decisions.

Interactions with AI systems may be processed for support, quality assurance, training, and system improvement purposes.

Service Availability

Services may be interrupted due to maintenance, infrastructure failures, internet disruptions, power outages, third-party provider issues, or security incidents. Bizzfo does not guarantee uninterrupted access.

Data & Backups

While Bizzfo may maintain backup and recovery systems, users remain responsible for maintaining independent backups of critical business data where appropriate. Bizzfo does not guarantee uninterrupted availability, preservation, restoration, or recovery of data.

Suspension & Termination

Bizzfo may suspend or terminate access where:

• These Terms are breached
• Unlawful activity is suspected or confirmed
• Fraud is detected
• Payment obligations are not met
• System abuse or misuse occurs

Termination does not limit any rights or remedies available to Bizzfo.

Limitation of Liability

To the maximum extent permitted by law, Bizzfo shall not be liable for:

• Loss of profits or revenue
• Loss or corruption of data
• Business interruption or operational losses
• Indirect, incidental, special, consequential, or punitive damages
• Reputational damage

Indemnity

You agree to indemnify and hold harmless Bizzfo, its directors, employees, contractors, affiliates, and partners against all claims, damages, losses, liabilities, costs, and expenses arising from:

• Misuse or unlawful use of the Services
• Breach of these Terms
• Unlawful or negligent conduct
• Infringement of third-party intellectual property or other rights

Amendments

Bizzfo may amend these Terms from time to time. Updated versions will be published on the relevant platforms or websites. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the Republic of South Africa. You consent to the exclusive jurisdiction of the High Court of South Africa (Cape of Good Hope Division) in relation to any disputes arising from these Terms or the use of the Services. Proceedings shall be conducted in English.

Subscription Cancellation

Users may cancel subscriptions subject to applicable contractual obligations and notice periods. Outstanding fees, usage charges, and unpaid balances remain payable after cancellation. Unless required by law, fees already paid are non-refundable.

Force Majeure

Bizzfo shall not be liable for delays, interruptions, failures, or inability to perform obligations resulting from events beyond its reasonable control, including but not limited to:

• Power outages and internet failures
• Telecommunications failures
• Cyber incidents and security events
• Labour disputes
• Natural disasters or acts of God
• Acts of government or regulatory actions
• Third-party infrastructure failures
• Civil unrest or force majeure events
